These Terms and Conditions ("Terms") constitute a binding agreement between you ("you" or "your") and Kura Sushi USA, Inc. ("Kura Sushi," "we," "us," or "our"). These Terms govern your access to and use of our websites, platforms, mobile applications, programs, offers, content, and services (collectively, "Services").
By accessing or using our Services, you agree to be bound by these Terms. If you do not agree to these Terms, you may not access or use our Services.
THESE TERMS CONTAIN AN ARBITRATION AGREEMENT AND A CLASS ACTION WAIVER THAT APPLY TO ALL CLAIMS BROUGHT AGAINST KURA SUSHI. PLEASE READ THEM CAREFULLY AS THEY AFFECT YOUR LEGAL RIGHTS. BY AGREEING TO THESE TERMS, YOU AGREE THAT ANY DISPUTE WILL BE RESOLVED BY BINDING ARBITRATION ON AN INDIVIDUAL BASIS. THIS MEANS YOU ARE WAIVING YOUR RIGHT TO A JURY TRIAL AND YOUR RIGHT TO PARTICIPATE IN A CLASS ACTION OR REPRESENTATIVE PROCEEDING.
The Kura Sushi Rewards Program ("Rewards Program") allows members to earn points on eligible purchases at participating Kura Sushi restaurant locations. By enrolling in the Rewards Program, you agree to the following terms:
If you had an existing account prior to the launch of the updated Rewards Program, you must migrate your account by December 31, 2025. Account migration is necessary to continue earning and redeeming points. Any points or rewards associated with accounts that are not migrated by the deadline may be forfeited. Please visit our website or mobile application for instructions on completing the migration process.
OUR SERVICES ARE PROVIDED "AS IS," "AS AVAILABLE," AND "WITH ALL FAULTS." TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, KURA SUSHI DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. KURA SUSHI DOES NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS.
TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, KURA SUSHI SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR IN CONNECTION WITH YOUR ACCESS TO OR USE OF (OR INABILITY TO ACCESS OR USE) THE SERVICES.
IN NO EVENT SHALL KURA SUSHI'S TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THE SERVICES EXCEED THE AMOUNT YOU PAID TO KURA SUSHI IN THE TRANSACTION GIVING RISE TO THE CLAIM.
You agree to indemnify, defend, and hold harmless Kura Sushi and its officers, directors, employees, agents, affiliates, successors, and assigns from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or relating to: (a) your use of the Services; (b) your violation of these Terms; (c) your violation of any rights of another party; or (d) your conduct in connection with the Services.
You and Kura Sushi agree that any dispute, claim, or controversy arising out of or relating to these Terms or the Services shall be resolved through binding arbitration administered by JAMS in accordance with its applicable rules and procedures. The arbitration shall take place in Los Angeles, California.
Pre-Arbitration Dispute Resolution: Before initiating arbitration, you agree to first attempt to resolve any dispute informally by contacting us. You must send a written notice of the dispute ("Notice") to Kura Sushi. The Notice must include your name, address, contact information, the facts giving rise to the dispute, and the relief requested. After receiving the Notice, the parties shall attempt to resolve the dispute informally for a period of 60 days. If the dispute is not resolved within 60 days, either party may proceed with arbitration.
Opt-Out: You may opt out of this Arbitration Agreement by sending written notice to Kura Sushi within 5 business days of first accepting these Terms. Your opt-out notice must include your name, address, and a clear statement that you wish to opt out of the Arbitration Agreement. If you opt out, neither you nor Kura Sushi will be bound by this Arbitration Agreement.
YOU AND KURA SUSHI AGREE THAT ANY PROCEEDINGS TO RESOLVE DISPUTES WILL BE CONDUCTED ON AN INDIVIDUAL BASIS AND NOT IN A CLASS, CONSOLIDATED, OR REPRESENTATIVE ACTION. YOU ARE WAIVING YOUR RIGHT TO PARTICIPATE IN A CLASS ACTION LAWSUIT OR CLASS-WIDE ARBITRATION. IF FOR ANY REASON A CLAIM PROCEEDS IN COURT RATHER THAN IN ARBITRATION, BOTH YOU AND KURA SUSHI WAIVE THE RIGHT TO A JURY TRIAL.
IF FOR ANY REASON A CLAIM PROCEEDS IN COURT RATHER THAN THROUGH ARBITRATION, YOU AND KURA SUSHI EACH WAIVE ANY RIGHT TO A JURY TRIAL.
These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of law provisions.
